Terms & conditions
How Nookell’s managed website service works, including deposits, ownership and renewal.
50% deposit before work starts · balance on approval, before launch · UK hosting · 30 days’ cancellation notice after the initial term.
Nookell is a managed website service for businesses and charities. The £499 package requires a 50% deposit before work begins; after year one it renews automatically at £20/month unless cancelled with at least 30 days’ written notice.
Who operates Nookell?
Nookell.io is operated by Viloso Limited, trading as Nookell. Viloso Limited is registered in Scotland under company number SC794881. Its registered office is 9 Arnprior Place, Ayr, Scotland, KA7 4PT.
General service, contract and cancellation enquiries should be sent to hello@nookell.io. Direct all personal data requests to data@viloso.co.uk.
Who the service is for
Nookell's managed website service is offered only to businesses and charities commissioning a website for their organisational activities. We do not accept commissions for personal websites from individuals acting in a private capacity. This includes start-ups, established businesses and charities.
These terms describe our standard offer. We will confirm the agreed scope, specifications, start date and any variations in writing before work begins. An enquiry alone is not a binding order. If an order confirmation expressly varies these terms, the agreed written variation will apply to that project, subject to applicable law.
What the £499 package includes
Our standard package costs £499 and covers the creation of one bespoke, single-page website, an available standard .com, .co.uk or .org domain, and 12 months of website hosting. We host Nookell customer websites on servers located in the United Kingdom.
Brand identity design and development are not included. You must supply the branding required for your website, including your logo, preferred fonts and colour scheme, together with your approved copy, images and other relevant content. We can proceed once the required materials are available; supplying incomplete materials may delay delivery.
The package does not include a new logo, colour palette, brand strategy, additional pages, e-commerce, custom software, paid third-party services or substantial extra features unless these are separately agreed. Standard domains are subject to availability; premium domains or other extensions may incur extra costs only with prior agreement.
Nookell is not registered for VAT, so no VAT is charged on the advertised £499 price.
Payment: A 50% deposit (£249.50) is payable before any design or development work starts. The remaining £249.50 becomes due when you approve the completed website. We will not publish or make the website live until the full balance has been received. We will confirm the approval and payment arrangements in writing. The deposit is intended to secure project resources and cover initial costs and work. Our approach to refunds and cancellation is described below.
Hosting, billing and renewals
The first 12 months of the managed website service, hosting and included standard domain are covered by the initial £499 package. After the first 12 months, the service continues automatically at £20 per month, including UK-based website hosting and the standard domain renewal. There is no further fixed minimum term after the initial 12 months, but the cancellation notice period below applies.
During customer onboarding, we will ask you to set up a Direct Debit mandate for monthly renewals. The first £20 monthly collection will be due after the initial 12-month period; collection details and dates will be confirmed during onboarding. Direct Debit collection and changes are subject to the applicable Direct Debit Guarantee.
If we propose a change to the renewal price or material service terms, we will notify you in advance in accordance with your agreement and applicable law. Ending a Direct Debit with your bank does not on its own cancel your managed website agreement; please also send us the written cancellation notice described below.
Your brand, content and approval
Customers must provide the logos, fonts, colour scheme and any other existing brand assets needed to create their website. Nookell does not provide brand creation, rebranding or brand development under the standard package.
You must also provide information about your organisation, approved wording, imagery, relevant permissions and any required legal or regulatory statements. You confirm that you own, or have permission to use, the material supplied. You remain responsible for its accuracy, legality and sector-specific compliance.
We will provide a draft for review and approval. You should check it carefully before giving written approval. Approval makes the remaining £249.50 payable; the website is published only after we receive that payment. Adjustments within the agreed project scope may be considered during the pre-publication review; a specific number of revision rounds is not included unless confirmed in your project agreement. Requests that materially change the brief may require a separate quote.
Domain names, transfers and third parties
The included domain may be a standard .com, .co.uk or .org name, subject to availability, registration eligibility, and the relevant registry and registrar's rules. We will clarify the domain's registration details during onboarding.
When you leave Nookell, you may request to transfer your domain to another provider. You are responsible for any charges imposed by the receiving provider, registry or registrar. Nookell charges a £25.00 administration fee, payable before we initiate a domain transfer. Transfers remain subject to domain eligibility, registrar/registry requirements and any applicable legal rights. We will not prevent a transfer contrary to those rules or the law.
Your website may include links to external booking, payment, ordering, donation or social platforms. Third-party subscription costs and terms are separate from Nookell's package. We may use technical suppliers to deliver hosting, domain registration and related services.
Deposits, cancellation and service ending
A 50% deposit is required before work begins and is described as non-refundable. It reserves project resources and supports the initial work and costs. If you cancel after paying it, we will take account of work performed, costs reasonably incurred and any rights or remedies required by law. We will not keep an amount we are not legally entitled to retain. If we cannot deliver the contracted service, your rights are not overridden by calling a payment a deposit.
The managed service covers an initial 12-month term. After that, it continues on a monthly basis at the stated renewal price, with no further fixed minimum term. To cancel, please give at least 30 days' written notice to hello@nookell.io. We will acknowledge the request and confirm the effective end date and any payments falling due during the notice period. Notice submitted inside 30 days of a billing date may result in a further collection; we will explain this clearly when processing the request.
Cancellation of the managed website service will end your right to use the Nookell-owned website design and Nookell's hosting. You can request a domain transfer as described above, and you remain entitled to your own supplied content and brand assets. We will explain any practical content-return arrangements as part of offboarding.
Nothing in these terms excludes any right that cannot lawfully be excluded. Although the service is intended only for business and charity customers, whether an individual is legally a consumer depends on the circumstances rather than the label used in a contract.
Updates and ongoing support
Nookell operates the finished site as a managed website service. Content updates can be requested by emailing hello@nookell.io. We will confirm the scope, timing and any applicable charges before carrying out work that falls outside the agreed package.
Once you have approved the website and it has been published, redesigns and design revisions are not included. A new layout, rebranding or significant redesign would require a separately agreed scope and price. Routine hosting and domain management continue as part of the monthly managed service.
The Nookell website and the illustrative portfolio examples are provided for general information. Please do not misuse our enquiry form, attempt to interfere with the service or use its contents unlawfully.
Ownership and liability
Viloso Limited, trading as Nookell, retains ownership of the website design, code, structure and Nookell-created design elements. Under the managed service, you receive permission to use the published site for your organisation while your agreement is active and paid. The standard package is not a sale of the website source files or an assignment of copyright.
You retain ownership of the content and branding you supply, subject to third-party licensing. You grant us permission to use that material solely as necessary to create, host and support your site and meet our agreed obligations. Any external imagery, fonts, software and other third-party elements remain governed by their own licences. Domain registration and transfer rights are subject to registrar and registry rules, as explained above.
Nothing excludes liability for fraud, fraudulent misrepresentation or any liability that cannot legally be excluded. Other remedies and responsibilities for particular projects will be governed by the agreement and applicable law.
Changes to these terms
We may update these public terms when our products, processes or legal requirements change. The date above shows when this page was last updated. Updating the website alone will not retrospectively change an existing contract where the customer's agreement or the law requires notice or agreement.
For contract or service questions, email hello@nookell.io. Personal data requests should be sent to data@viloso.co.uk.
